1. About us

Simple Design LLC is a design & engineering studio. We design and build our own software products and provide custom website and application development to clients. This Site is a portfolio and marketing site. The individual apps we publish (such as CryptoComp) are governed by their own in-app terms and privacy policies, which are separate from these Terms.

2. Use of the Site

You may browse the Site for your personal, informational, and business evaluation purposes. You agree not to misuse the Site, including by attempting to disrupt or compromise it, reverse-engineer it, scrape it at scale, introduce malicious code, or use it for any unlawful purpose. All content on the Site — text, design, code, logos, and branding — is owned by Simple Design LLC or its licensors and is protected by intellectual-property laws.

3. Client services & engagements

Any Services we provide to a client are governed by a separate written agreement, proposal, or statement of work (an “Engagement Agreement”). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement. Unless otherwise agreed in writing:

• Quotes & estimates are non-binding until confirmed in an Engagement Agreement, and scope, timeline, and fees are defined there.
• Deliverables & ownership transfer to the client upon full payment, except for our pre-existing tools, libraries, and know-how, which we retain and license to you to use within the deliverables.
• Third-party services (hosting, APIs, fonts, plugins) used in a project remain subject to their own licenses and fees.

4. Submissions & communications

When you contact us — by email, a form, or otherwise — you are responsible for the accuracy of what you send and for ensuring you have the right to share it. Do not send confidential information you do not wish us to receive before a written confidentiality agreement is in place. We may use general feedback and ideas you volunteer to improve our work without obligation.

5. Fees & payment

Fees for Services are set out in the applicable Engagement Agreement. Unless stated otherwise, invoices are due within the period specified on the invoice, and late or unpaid amounts may pause work and delay delivery. Deposits and milestone payments, where used, are non-refundable to the extent work has been performed.

6. No professional or financial advice

The Site and its contents are provided for general informational purposes only and do not constitute legal, financial, or professional advice. Our published apps that simulate financial activity (for example, CryptoComp) use play money only and are not investment advice; they are governed by their own terms.

7. Warranties & disclaimer

The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Warranties relating to Services, if any, are stated in the applicable Engagement Agreement.

8. Limitation of liability

To the maximum extent permitted by law, Simple Design LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Site or our Services. Our total aggregate liability arising out of an engagement will not exceed the amounts paid to us for that engagement.

9. Third-party links

The Site may link to third-party sites and resources (such as the App Store or our apps’ own legal pages). We are not responsible for the content, policies, or practices of those third parties.

10. Changes

We may update these Terms from time to time. Material changes are reflected by the effective date above, and your continued use of the Site after an update constitutes acceptance of the revised Terms.
